Froala Editor V2 Testing Contest Rules

For the purpose of these Rules, the “Contest” shall mean Froala Editor Testing Contest. The Contest is sponsored by Froala Labs SRL (hereinafter referred to as "Froala" or “Sponsor”).

1 Description

The Froala Editor Testing Contest (the “Contest”) is designed to perfect the Froala Editor Software. Judges will approve the submitted Entries in accordance with these Contest Rules and the winners are determined by the total number of eligible Entries submitted by each entrant. If two or more participants have the same number of Entries, judges will decide the winner based on each Entry’s importance.

2 Binding Agreement

In order to enter the Contest, you must agree to these Contest Rules. Therefore, please read these Contest Rules prior to entry to ensure you understand and agree. You agree that submission of an entry in the Contest (“Entry”) constitutes agreement to these Contest Rules. You may not submit an Entry to the Contest and are not eligible to receive the prizes described in these Contest Rules unless you agree to these Contest Rules. These Contest Rules form a binding legal agreement between you and Froala with respect to the Contest.

3 Eligibility

To be eligible to compete, each entrant must read and agree to abide by the Contest Rules.

To be eligible, entrants must be eighteen (18) years of age or older on the Contest’s starting date August 31, 2015.

Entrants must agree to these terms and conditions to be eligible to participate in the Contest.

Entries must be submitted by the deadline to be considered.

Employees and agents of Sponsor and such individual’s immediate family (including spouse, children, parents, siblings, grandparents, grandchildren, step-children, step-parents and in-laws) and members of the same household are prohibited from entering this Contest.

4 Contest Period

The Contest begins at 9:00:00 AM UTC on August 31, 2015 and ends at 9:00:00 AM UTC on September 30, 2015 . No submissions submitted after the end date and time will be considered. You are responsible for determining the corresponding time zone in your respective locations.

5 Submission of Entries

All Entries must be in English. Entries in any other language will not be considered.

All Entries must be related to the Froala Editor version 2. Entries related to version 1 will not be considered.

All Entries must be submitted as issues on Github, on Froala WYSIWYG Editor’s public repository: https://github.com/froala/wysiwyg-editor/issues.

Entries can be either bugs in the Froala Editor’s Software or typos in the Froala Editor’s Documentation: https://froala.com/wysiwyg-editor/v2-0/docs

An Entry must contain sufficient information in order to be reproduced:

Operating system, browser and browser version
Additional options used when initializing the editor
Steps to reproduce the issue
[Optional] If the issue is not reproducible on https://froala.com/wysiwyg-editor/v2-0, a jsFiddle where the issue can be reproduced.

Entries with demeaning, condescending, racist, sexist and other inappropriate language and conduct will be disqualified at Froala’s sole discretion.

Froala reserves the right to mark an issue as not eligible at its sole discretion, without providing any reason.

Submitted Entries can be edited at any time until the Contest’s end date 9:00:00 AM UTC on September 30, 2015.

6 Judging

All entrants agree to follow and abide by the judging criteria.

Odds of winning are mainly determined by the total number of eligible Entries received.

If two or more entrants have the same number of eligible Entries, judges will decide the winner based on the importance of each Entry for the Froala WYSIWYG Editor.

Additional information may be required if the issue cannot be reproduced.

Issues that cannot be reproduced are not considered eligible Entries.

Duplicate issues are not considered eligible Entries.

If an issue is considered by Froala as intended behavior it is not an eligible Entry.

Each Entry determined by the judges to be an eligible Entry the Github issue will be tagged “Contest”.

If an Entry is marked as not eligible, the participant may challenge the judges to reevaluate its submission by offering more information and arguments. Froala will re-examine the Entry and make a final determination, at its sole discretion, as to whether the Entry should be classified as eligible.

7 Prizes

Seven (7) winners of the contest will receive a t-shirt with an approximate value of $18 USD (eighteen U.S. dollars). Total approximate value of all t-shirts: $126 USD.

First three (3) winners will receive, besides the t-shirt, a Froala Design Framework Basic License valued at $99 USD (ninety-nine US dollars) each. Total approximate value of the three licenses $297 USD.

8 Taxes

Entrants will not be reimbursed for any costs incurred or for efforts expenses in connection with their participation in the Contest. Such costs are the responsibility of the participants.

Shipping taxes for the prizes are paid by the Sponsor.

Prizes may be subject to reporting for tax and other purposes. Taxes and other obligations are solely the responsibility of the winners.

9 General Conditions

There is no entry fee.

No purchase is necessary. The editor is available for download at any time from Github and from our website.

In the event of unavailability of any of the stated prizes, Sponsor reserves the right to substitute items of equal or greater value.

Prizes are awarded without warranty of any kind from Froala, express or implied, without limitation.

Submission of an Entry in this Contest constitutes agreement by the participant to the terms and conditions of the Contest Rules.

Any potential winner who cannot be contacted by email within 15 days of attempted first notification will forfeit his/her prize.

Froala reserves the right to cancel this Contest phase before the end date at its sole discretion, and decline to award prizes if there are no eligible entrants.

The contest shall be considered void where, and to the extent, prohibited by law.

10 Intellectual property rights

Entrants do not receive by way of or under the Contest any intellectual property rights in any copyrights, patents, trademarks, trade names, technology, trade secrets, or know-how of Froala Editor or any third party.

11 Privacy

All entrants must have their email visible on their Github profile.

All entrants grant to Sponsor the right to publicize their names, likeness, any information provided on the business card, their Twitter or Github handle in whatever manner without reservation or compensation.

Entrants agree that personal data including, but not limited to, name, mailing address. phone number, and email address may be collected, processed, stored and otherwise used for the purposes of conducting and administering the Contest or to verify participation in the Contest if requested by entrant. Further, this data may also be used by Froala to verify an entrant’s identity, postal address and telephone number in the event an entrant qualifies for any applicable prize as well as to deliver the applicable prize.

The entrant that is chosen for consideration for any award, as a condition of award, may be required to submit further information concerning employment and residence.

If an entrant does not provide the required data when requested, it will be considered ineligible for any prizes.

Sponsor reserves the right to use information regarding contestants for further mailings subject to applicable laws and regulations and privacy policies.

12 Warranty and indemnity

All entrants warrant and represent that their Entry in entirely original and that entrant is owner of said Entry. This representation is a requirement of participation in the Contest. By participating in the Contest, all entrants represent and that there is no third party of any kind, whether an academic institution, commercial company, individual, or governmental legal entity which has any proprietary or other interest in, claims or rights to, any intellectual property right, including trade secret, “know-how”, copyright, patent, trademark or trade name, in any material submitted under the Contest.

All entrants agree, represent and guarantee that there are no obligations of any nature, legal or otherwise, which would prohibit, restrict, or interfere with their participation in the Contest or submission of their Entry. All entrants agree to obtain any necessary clearance or approval from any necessary third party participation in all Contest activities and any such approvals, which are required as a condition of participation.

To the maximum extent permitted by law, each entrant indemnifies and agrees to keep indemnified Froala at all times from and against any liability, claims, demands, losses, damages, costs and expenses resulting from any act, default or omission of the entrant and/or a breach of any warranty set forth herein. To the maximum extent permitted by law, each entrant agrees to defend, indemnify and hold harmless Froala, its affiliates and their respective directors, officers, employees and agents from and against any and all claims, actions, suits or proceedings, as well as any and all losses, liabilities, damages, costs and expenses (including reasonable attorneys fees) arising out of or accruing from (a) any material uploaded or otherwise provided by the entrant that infringes any copyright, trademark, trade secret, trade dress, patent or other intellectual property right of any person or defames any person or violates their rights of publicity or privacy, (b) any misrepresentation made by the entrant in connection with the Contest; (c) any non-compliance by the entrant with these Contest Rules; and (d) claims brought by persons or entities other than the parties to these Contest Rules arising from or related to the entrant involvement with the Contest.

To the extent permitted by law, entrant agrees to hold Froala, its respective directors, officers, employees and assigns harmless for any injury or damage caused or claimed to be caused by participation in the Contest and/or use or acceptance of any prize, except to the extent that any death or personal injury is caused by the negligence of Froala.

13 Elimination

Sponsors reserve the right, at its sole discretion, to disqualify anyone found to have tampered with the Contest.

Any false information provided within the context of the Contest by any entrant concerning identity, age, mailing address. telephone number, email address, ownership of right or non-compliance with the Contest Rules may result in the immediate elimination of the entrant from the Contest.

Sponsor further reserves the right to disqualify any entrant that it believes in its sole and unfettered discretion infringes upon or violates the rights of any third party, otherwise does not comply with the Contest’s Rules, or violates applicable local law in entrant’s country of residence.

14 Internet

By entering this Contest, each entrant agrees to release and hold Sponsor harmless from and against any losses, damages, rights, claims and actions of any kind arising from (i) an exclusion or disqualification of an entrant pursuant to these Rules; (ii) late, lost, misdirected, or unsuccessful efforts to notify winners of any prize; (iii) forfeiture of a prize and the selection of an alternate winner; (iv) late, lost, delayed, damaged, misdirected, incomplete, illegible or unintelligible Entries; (v) telephone, electronic, hardware or software program, network, Internet, or computer malfunctions, failures or difficulties of any kind; (iii) failed, incomplete, garbled or delayed computer transmissions; (iv) any condition caused by events beyond Froala’s control that may cause the Contest to be disrupted or corrupted; (v) any injuries, losses or damages of any kind relating to a contest prize, or acceptance, possession or use of the prize, or from participation in this Contest.

Sponsor reserves the right to cancel, terminate, modify or suspend this Contest if it becomes corrupted or if for any reason the Internet portion of the Contest is not capable of running and planned, including infections by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures or any other causes beyond the control of Sponsor, which corrupt or affect the administration, security, fairness, integrity or proper conduct of this Contest.

15 Not an offer or a Contract or employment

No confidential relationship is established between Froala and the entrants as a result of entering this Contest. None of the Entries submitted by the entrant will be treated by Froala as a trade secret, confidential information, or as a protected data under any obligation.

16 Forum and recourse to judicial procedures

The Contest and its rules and conditions shall be governed by, subject to, and construed in accordance with the laws of Romania and any dispute arising out of this contest shall be brought in, and you hereby consent to exclusive jurisdiction and venue in, Bucharest, Romania. All arbitration shall be conducted in Romanian language.

If any aspect of the Contest or any rule or condition be found by court of competent jurisdiction to be invalid, illegal or void, participants agree to allow Froala to change such provision and, upon notice, to make it valid. Also, in such case, the remaining Contest provisions shall remain in full force and effect and the Contest shall proceed accordingly.

If there is a dispute regarding the identity of the entrant, Sponsor reserves the right to deem the account holder of the e-mail address as the entrant.

A list of the winners will be available after October 5, 2015.
